Audio Lab App Terms & Conditions

These Terms & Conditions of Use ("Terms") govern your access to and use of the Audio Lab mobile application and any related websites, services, features, content, and tools (collectively, the "Services"). The Services are operated by LAB Acoustics LLC ("LAB Acoustics", "Company", "we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
- You may be required to create an account to access certain features.
- You must provide accurate, current information and keep it updated.
- You are responsible for all activity under your account and for safeguarding your credentials.
- We may suspend or terminate access if we reasonably believe you violated these Terms, engaged in fraud/abuse, or created legal/security risk.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal or internal business purposes, subject to these Terms.
- Do not reverse-engineer, decompile, or attempt to extract source code.
- Do not misuse the Services (including probing, scanning, or testing vulnerabilities).
- Do not scrape, harvest, or use automated means to access the Services except as explicitly permitted.
- Do not interfere with or disrupt the Services or servers/networks connected to them.
- Do not use the Services for unlawful purposes or in violation of third-party rights.
Audio Lab may provide guidance, recommendations, layouts, calculations, estimates, or other outputs related to acoustic treatment, speaker placement (including immersive formats), hardware selection, and room planning. These outputs are informational and do not guarantee results.
- No guaranteed outcomes: acoustic performance depends on many factors outside our control (construction, materials, installation quality, furnishings, equipment, calibration, and device limitations).
- Verify before you build: you are responsible for confirming measurements and installation requirements in the real world.
- Safety: you are solely responsible for safe installation, mounting, electrical practices, and preventing injury or property damage. Consult qualified professionals when needed.
The Services may use camera, LiDAR, depth sensors, RoomPlan/ARKit or similar technologies to create room models and detect features (walls, doors, windows, furniture, obstructions). You acknowledge that scans and measurements may be incomplete, inaccurate, misaligned, or distorted, and that device capability and environment strongly affect accuracy.
- The Services may export files (e.g., USDZ, SCN, JSON, images, floor plans). We do not guarantee third‑party compatibility.
- You are responsible for maintaining backups of your projects and exports.
- We are not liable for lost data, corrupted outputs, workflow interruptions, or issues caused by third-party software.
"User Content" includes content you upload, input, generate, or submit through the Services (e.g., scans, images, models you provide, project notes, metadata). As between you and LAB Acoustics, you retain ownership of your User Content.
You grant LAB Acoustics a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, modify (for formatting/processing), transmit, and display User Content solely to operate, maintain, and improve the Services.
- You represent you have all necessary rights to your User Content and it does not infringe third-party rights.
- You are solely responsible for your User Content and any consequences of submitting it.
The Services, including software, UI, designs, trademarks, and content (excluding User Content), are owned by LAB Acoustics or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works except as expressly permitted.
If the Services include product purchases, subscriptions, or billing features, additional terms may apply at checkout. Prices, availability, taxes, and shipping may change. We may refuse or cancel orders in cases of suspected fraud, pricing errors, inventory issues, or payment failure.
The Services may integrate third-party providers (e.g., authentication, analytics, payments, AR frameworks). We are not responsible for third-party services, outages, or their terms/policies. Your use of third-party services is governed by their terms.
We may modify these Terms or the Services at any time. Changes are effective when posted. By continuing to use the Services after changes become effective, you agree to the updated Terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAB ACOUSTICS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION), EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO LAB ACOUSTICS FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR $100 USD, WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless LAB Acoustics and its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of your use of the Services, your User Content, or your violation of these Terms or third-party rights.
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles, except where preempted by U.S. federal law. If a dispute is not subject to arbitration or small claims court, it will be resolved exclusively in state or federal courts located in Delaware, United States.
